In this context, they mean almost the same thing.

Examples:
The students were too noisy
The students were overly noisy

Both mean that the students were making too much noise.

However, 'overly' has connotations of being excessive or more than necessary.

The students were too noisy
- This just means that the students were very loud

The students were overly noisy
- This means that the students were louder than they needed to be

In normal conversation, though, it's more common to use 'too' than 'overly'.
